Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and INEED2, Inc. ("INEED2," "we," "us") governing your access to and use of the INEED2 website, mobile apps, and related services (the "Services"). By creating an account or using the Services you accept these Terms and our Privacy Policy. If you offer services as a Tasker, you also accept the Tasker Agreement, which is incorporated by reference. Please read the "Disputes, arbitration, and class-action waiver" section carefully — it affects your legal rights.
Eligibility
You must be at least 18 years old and able to form a binding contract to use INEED2. You must provide accurate information and keep it current. The Services currently operate in Chicago, Illinois.
The INEED2 marketplace
INEED2 is a neutral technology venue that connects people who post tasks ("Posters") with independent service providers ("Taskers"). INEED2 does not perform tasks, does not employ Taskers, and is not a party to the agreement formed between a Poster and a Tasker when a task is booked. Task categories may be limited, and certain regulated services are not offered on the platform.
Your account
You are responsible for activity on your account and for keeping your credentials secure. Notify us immediately of any unauthorized use. One person per account; accounts may not be shared, sold, or transferred.
Tasker screening and verification
To keep the community safe, Taskers must complete identity verification — including a selfie/liveness check governed by our Biometric Information Policy — and a background check performed by a consumer reporting agency before accepting jobs. You will receive, and must acknowledge on separate screens, a biometric consent notice and a standalone FCRA disclosure and authorization before these are performed. Screening may be repeated or run on an ongoing basis while you remain a Tasker. Identity verification and background checks are point-in-time safety measures: they do not guarantee any person's future conduct.
Bookings and payments
Prices are agreed before a task begins. Payments are processed by third-party payment processors; INEED2 may charge service fees, which are shown before you book. Funds are released to the Tasker after the Poster confirms the task is complete. Taskers set their own rates; INEED2 does not set, cap, or floor them.
Cancellations, refunds, and booking review
Cancellations are subject to the cancellation policy shown at booking; fees may apply. If a task is not completed as agreed, contact us within [X] days and we will review the booking. Eligible bookings may qualify for protection under our Protection Terms, which state the coverage, limits, exclusions, and claim process. [Until Protection Terms are published and insurance-backed, use: "We will review the booking and may, at our discretion, refund some or all fees paid."]
Acceptable use
You may not use the Services to break the law; harass, threaten, or discriminate against anyone; post false, misleading, or infringing content; interfere with the Services' security or operation; or take bookings off-platform to avoid fees. Taskers may not offer services that require a license they do not hold, or services excluded from the platform. We may remove content or restrict accounts that violate these rules.
Taskers are independent contractors
Taskers are independent contractors, not employees, agents, partners, or joint venturers of INEED2. Taskers decide whether, when, and how to provide services; set their own rates; choose which tasks to accept; and control the manner and means of their work. INEED2 does not set hours, require uniforms, or supervise task performance. Taskers are solely responsible for their own taxes, withholdings, business and trade licenses, permits, and any insurance required for their work. Nothing in these Terms creates an employment relationship. The full relationship is governed by the Tasker Agreement.
Assumption of risk and release
INEED2 is a neutral venue. You understand that meeting in person, performing physical work, and entering another person's home carry inherent risks, and you assume those risks. To the maximum extent permitted by law, you release INEED2 from claims arising out of the acts or omissions of any Poster or Tasker. INEED2 does not guarantee any Tasker's work, conduct, or continued suitability beyond the screening described in these Terms and our Trust & Safety materials.
Disclaimers and limitation of liability
The Services are provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, INEED2 is not liable for indirect, incidental, special, consequential, or punitive damages, or for the acts or omissions of users. Our total liability for any claim relating to the Services is limited to the fees you paid to INEED2 in the three months before the claim. Some jurisdictions do not allow certain limitations; in those places, these limits apply to the fullest extent permitted.
Indemnification
You will indemnify and hold harmless INEED2 and its officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, your services as a Tasker, or your breach of these Terms or the law.
Disputes, arbitration, and class-action waiver
Please read this section carefully — it affects your legal rights.
Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by [AAA / JAMS] under its [Consumer] rules, on an individual basis, rather than in court. The Federal Arbitration Act governs this section.
Class-action waiver. All claims must be brought in the party's INDIVIDUAL capacity, and NOT as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Jury-trial waiver. You and INEED2 waive any right to a jury trial.
Carve-outs. Either party may bring an individual claim in small-claims court, and may seek injunctive relief in court for intellectual-property or confidentiality misuse. Nothing in this section waives any right that cannot be waived by law.
30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name and account email. Opting out does not affect any other part of these Terms.
Severability of the waiver. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) proceeds in court; the rest remain in arbitration.
Governing law and venue. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any matter not subject to arbitration will be heard in the state or federal courts located in Cook County, Illinois.
Termination
You may close your account at any time in Settings. We may suspend or terminate accounts for a failed or expired screening, a safety or legal violation, fraud, off-platform circumvention, or a material breach of these Terms. For deactivations based on a background report, the FCRA adverse-action process described in "Tasker screening and verification" applies. Sections that by their nature survive — including the arbitration agreement, liability limits, indemnification, assumption of risk, and intellectual-property terms — remain in effect after termination.
Content and intellectual property
You retain ownership of content you post (profiles, photos, reviews) and grant INEED2 a non-exclusive, royalty-free license to display it on the platform and in related marketing. The Services, software, and INEED2 marks are the property of INEED2, Inc.; you receive only a limited, revocable, non-transferable license to use the apps and website.
Changes to these terms
We may update these Terms. When we make material changes we will notify you in the app or by email and update the "Last updated" date above. Material changes — including any change to the arbitration section — take effect only after notice, and for significant changes we may ask you to re-accept before continuing to use the Services.
General
If any provision of these Terms is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. These Terms, together with the policies they incorporate (Privacy Policy, Biometric Information Policy, Cookie Policy, Tasker Agreement, Protection Terms, and Community Guidelines), are the entire agreement between you and INEED2 about the Services. Notices to you will be sent to your account email or in-app; notices to us go to the contact below. Force majeure: neither party is liable for delay caused by events beyond its reasonable control.
